These Terms and Conditions (the "Terms") govern your access to and use of the Tinker Pro POS Cloud Service, including all related websites, applications, dashboards, and features (collectively, the "Service") operated by Tinker Pro Technologies Inc. ("Tinker Pro," "we," "us," or "our"). By registering for, accessing, or using the Service, you (the "Merchant," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
Definitions
- "Account" refers to the registered profile created by the Merchant to access the Service.
- "Merchant" refers to the business entity or individual that registers for and uses the Service.
- "Free Features" refers to the features made available at no cost as described in Section 3.
- "Advanced Features" refers to the paid, subscription-based features described in Section 4.
- "Subscription" refers to the recurring paid plan a Merchant selects to access Advanced Features.
- "PayMongo" refers to the third-party payment processor that facilitates payments under the Service.
- "Cardholder" refers to the person whose credit or debit card is used to make payments under the Service.
Account Registration and Eligibility
To use the Service, you must register for an Account and provide accurate, complete, and current information.
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
You must be at least eighteen (18) years of age and legally capable of entering into binding contracts to register for and use the Service. You agree to notify us immediately of any unauthorized access to or use of your Account.
Free Features
Tinker Pro provides the Free plan ("Freemium") free of charge, on a forever-free basis with no expiration, for one (1) User Account per store, for as long as the Service remains available. The Free plan currently includes:
- Point of Sale (POS) — process in-store sales, returns, and fast checkouts, with support for multiple tender types (including cash, GCash, Maya, QRPh, and card);
- Unlimited Products (SKU) — add as many products as your business needs;
- Unlimited Sales History — retain your complete transaction records;
- Multi-Branch Access — create multiple stores and view each store's sales history;
- Customer Display — show the item list and running total to your customers at checkout;
- Hardware Integration — connect a receipt printer, barcode scanner, and cash drawer;
- Software Updates — receive ongoing improvements to the Service; and
- Community Support — access help through our official user community.
Additional User Accounts may be added to any plan for an extra fee, as described in Section 5.
The Free Features are provided at no cost; however, their continued availability, scope, and functionality may be modified, limited, or discontinued at our discretion in accordance with these Terms.
Advanced (Paid) Features
Access to certain advanced features of the Service requires an active paid Subscription (the "Pro" plan). Building on everything in the Free plan, the Advanced Features currently include, but are not limited to:
- Advanced Reporting — including detailed sales reports, gross and net profit reports, fast, slow, and non-moving item analysis, batch and expiry reports, and loss and damage reports;
- Inventory Management — including purchase orders, stock adjustments, variance checker, batch and expiry tracking, loss and damage tracking, and product categories (groups);
- Multi-Branch Stock Transfer — transfer stock from your warehouse to any store, or from a store back to your warehouse;
- All Branch Summary Report — consolidated, detailed data across all your branches;
- Customers & Suppliers — a complete database of your customers and suppliers, including purchase history and contact details;
- Expense Tracker — record company expenses for a more accurate net profit report;
- Activity Logs — a complete, uneditable record of who did what and when; and
- Priority Chat/Email Support — faster assistance from our support team.
Tinker Pro may add, modify, reclassify, or move features between the Free and Pro plans from time to time in accordance with these Terms.
To access the Advanced Features, you must subscribe to the applicable plan and pay the corresponding fees. Advanced Features will be activated upon successful processing of your payment and will remain available for the duration of the applicable billing cycle, subject to continued payment in accordance with Section 6.
Plans, Fees, and Billing
The fees, billing cycle, and inclusions for each Subscription plan are as presented to you at the point of subscription and may be updated from time to time. By subscribing to a paid plan, you agree to pay all applicable fees for the selected plan and billing cycle.
As of the last update of these Terms, the Pro plan is offered at ₱1,990 per store per month. When billed annually, the yearly plan is offered at a discounted rate equivalent to two (2) months free. Additional User Accounts may be added to any plan at ₱290 per user per month. New accounts may be eligible for a 30-day free Pro trial; unless you cancel before the trial ends, your Subscription will continue on the applicable paid plan in accordance with Section 6. These prices are indicative and may change; the fees actually applicable to you are those presented at the point of subscription.
For the purposes of these Terms, a "store" refers to any location of your business that requires a paid plan, which may include your warehouses, branches, and outlets.
All fees are quoted in Philippine Pesos (₱) and are exclusive of applicable taxes unless otherwise stated, and you are responsible for any taxes, levies, or charges imposed by relevant authorities in connection with your use of the Advanced Features.
Unless otherwise stated, all fees are non-refundable except as expressly provided in these Terms or as required by applicable law.
Recurring Payments
Paid Subscriptions are billed on a recurring basis through our third-party payment processor, PayMongo. By subscribing to a paid plan, you and the relevant Cardholder agree to the following:
By agreeing to recurring payments, the cardholder authorizes PayMongo to automatically deduct payment from the given credit/debit card account until he/she revokes such authorization. The payments shall be charged at the start of each billing cycle, which shall be dependent on the agreed products/plans. After the processing of payment, the Merchant shall reach out to the cardholder if his/her payment is successful or not. PayMongo shall not be held liable for the Merchant's failure to notify the cardholder regarding the payment status. The cardholder further acknowledges and agrees that the billing cycle and amount to be deducted are dependent on the instructions made by the Merchant to PayMongo.
The Cardholder may revoke the recurring payment authorization at any time in accordance with the cancellation procedures described in Section 7.
Revocation will take effect for billing cycles following the date the revocation is successfully processed and will not affect amounts already charged.
Cancellation, Revocation, and Refunds
You may cancel your paid Subscription or revoke the recurring payment authorization at any time through your Account settings or by contacting us using the details in Section 22. Cancellation will stop future charges; however, you will continue to have access to the Advanced Features until the end of the then-current billing cycle for which payment has already been made.
Except where required by applicable law, fees already charged for the current or prior billing cycles are non-refundable. Upon cancellation, you may revert to the Free Features, subject to the then-applicable scope and limitations of those features.
Merchant Responsibilities
You are solely responsible for the accuracy and lawfulness of the data you input into the Service and for your transactions with your own customers, suppliers, and Cardholders. In particular, and as set out in Section 6, you are responsible for notifying the relevant Cardholder of the status of each payment, and neither PayMongo nor Tinker Pro shall be liable for your failure to do so.
You agree to use the Service in compliance with all applicable laws and regulations, and to ensure that any payment authorizations you submit to PayMongo accurately reflect the agreed plans, billing cycles, and amounts.
Acceptable Use
You agree not to misuse the Service, including by attempting to gain unauthorized access, interfering with the operation of the Service, reverse-engineering any part of the Service, or using the Service to engage in unlawful, fraudulent, or harmful activity. We reserve the right to suspend or terminate Accounts that violate these Terms.
Third-Party Services
The Service integrates with, or may rely on, third-party services and providers, including but not limited to PayMongo (for payment processing) and the platforms through which our applications are distributed (such as the Google Play Store). Your use of those third-party services may be subject to their own terms and privacy policies, which are independent of these Terms.
We do not control, and are not responsible for, the acts, omissions, availability, or performance of any third-party service. Any dealings between you and a third-party provider, including payment authorizations and disputes, are solely between you and that provider, except as expressly stated in these Terms.
Data Privacy
We process personal data in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173), its Implementing Rules and Regulations, and our Privacy Policy. By using the Service, you consent to the collection, use, and processing of data as described in our Privacy Policy.
As a Merchant, you are responsible for ensuring that you have obtained any necessary consents from your customers and Cardholders for the data you collect and process through the Service, and for complying with applicable data privacy laws in your own capacity as a personal information controller.
Intellectual Property
All rights, title, and interest in and to the Service, including all software, content, trademarks, and associated intellectual property, are and remain the exclusive property of Tinker Pro and its licensors. These Terms do not grant you any right to use our trademarks, logos, or other proprietary materials except as necessary to use the Service.
Service Availability and Modifications
The Service is available as a web application accessible through any modern browser, and as native applications for Windows and Android. Certain features support Offline Mode, allowing you to continue processing sales without an active internet connection, with your data syncing automatically once connectivity is restored. Offline Mode is a convenience feature and is not a substitute for maintaining your own records or backups.
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service, including Free Features and Advanced Features, at any time, with or without notice. Where reasonably practicable, we will provide advance notice of material changes that adversely affect paid Subscriptions.
Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, Tinker Pro disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any data or reports generated through the Service will be complete or accurate. You are responsible for verifying the accuracy of your own records, transactions, and reports. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
Limitation of Liability
To the maximum extent permitted by applicable law, Tinker Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of or inability to use the Service.
To the extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total amount of fees paid by you to Tinker Pro for the Advanced Features during the three (3) months immediately preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Tinker Pro, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including your customers and Cardholders.
Suspension and Termination
We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, fail to pay applicable fees, or use the Service in a manner that may cause harm to us or others. Upon termination, your right to use the Service will cease, though certain provisions of these Terms that by their nature should survive will continue to apply.
Force Majeure
Tinker Pro shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, power or internet outages, failures of telecommunications or third-party providers, government actions, labor disputes, pandemics, or other force majeure events.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any plan details presented at the point of subscription, constitute the entire agreement between you and Tinker Pro regarding the Service and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing to be effective.
Assignment
You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, or sale of assets.
Relationship of the Parties
Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Tinker Pro. You act as an independent party.

We may provide notices to you through the Service, by email to the address associated with your Account, or by posting on our website. You may contact us using the details in Section 22.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms within the Service or by other appropriate means. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Philippines.

By registering for, accessing, or using the TinkerPro POS Cloud Service, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
